10. Indemnification

You agree to defend, indemnify, and hold harmless Water System Wiki, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of this Agreement; (b) your use of the Website, including your User Contributions; or (c) your misuse of any content, services, or information obtained from the Website.

11. Governing Law and Jurisdiction; Dispute Resolution

This Agreement and any dispute, claim, or controversy arising out of or relating to the Website or this Agreement (including non-contractual disputes or claims) are governed by the internal laws of the State of Michigan, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Website will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules, as modified herein. The arbitration will occur in the State of Michigan or remotely by video conference, at the arbitrator’s discretion.

The arbitrator will have exclusive authority to decide issues relating to the interpretation, applicability, enforceability, or formation of this Agreement. Judgment on the arbitrator’s award may be entered in any court with jurisdiction. Each party will bear its own attorneys’ fees and will share equally the arbitrator’s fees and administrative costs, unless the arbitrator determines otherwise. YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

12. Arbitration Election

Without limiting Section 11, Water System Wiki may, at its sole option, require that any dispute or claim arising from or related to this Agreement or your use of the Website be submitted to final and binding arbitration under the AAA Commercial Arbitration Rules applying Michigan law. If elected, arbitration will be the exclusive forum for the dispute, subject to any small-claims court jurisdiction that may apply.

13. Limitation on Time to Bring Claims

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE WEBSITE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION ACCRUES, OR IT IS PERMANENTLY BARRED.

14. Waiver and Severability

No waiver of any term or condition is a continuing waiver of that or any other term, and any failure to enforce a provision is not a waiver of that provision. If any provision of this Agreement is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

15. Entire Agreement

This Agreement, together with our Privacy Policy and any additional policies or notices posted on the Website, constitutes the entire agreement between you and Water System Wiki with respect to the Website and supersedes all prior or contemporaneous understandings or agreements concerning the subject matter hereof.
